Startups. We advise on the appropriate company structure, issuance of founders’ stock, intellectual property protection, and positioning the company for future growth.
Private equity financing. We help emerging and established companies issue equity securities in “friends and family” as well as investor rounds of financing, including advising on SEC compliance.
Business operations support. We provide guidance on equity compensation, licensing arrangements, commercial contracts, intellectual property, employment and real estate matters.
Mergers and acquisitions. We provide counsel related to the decision to buy or sell, selection of advisors (bankers, accountants, etc.), board duties and obligations, shareholder relations and approval requirements, due diligence, negotiation of terms (including structure, earn-outs, indemnification and other key matters), preparation of definitive agreements, review of employee benefits, and closing and post-closing matters.
Corporate governance. We advise on board and shareholder relations and general corporate governance matters.
